1. Agreement to Terms
By accessing or using Agenzy's website and services ("Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Services.
2. Services Description
Agenzy provides AI automation solutions, custom chatbot development, workflow automation, cloud infrastructure services, and related technology consulting. The specific scope of services will be defined in individual service agreements or proposals.
3. Service Agreements
Proposals and Quotes
All service proposals and quotes are valid for 30 days unless otherwise specified. Acceptance of a proposal constitutes agreement to the terms outlined therein.
Payment Terms
- Payment terms will be specified in individual service agreements
- For project-based work, payment schedules may include upfront deposits and milestone payments
- For infrastructure services, billing is typically monthly in advance
- Late payments may incur interest charges of 1.5% per month or the maximum allowed by law
- We reserve the right to suspend services for non-payment
Service Delivery
Timeline estimates are provided in good faith but are not guarantees. Actual delivery times may vary based on project complexity, client responsiveness, and unforeseen technical challenges.
4. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for service delivery
- Respond to requests for feedback and approvals in a timely manner
- Provide necessary access to systems, data, and resources as needed
- Comply with all applicable laws and regulations when using our Services
- Not use our Services for any illegal or unauthorized purposes
- Maintain the confidentiality of any login credentials or access keys provided
5. Intellectual Property
Client Deliverables
Upon full payment, you will own the custom deliverables created specifically for your project, subject to any third-party licenses or pre-existing intellectual property.
Agenzy Property
Agenzy retains all rights to:
- Pre-existing code, frameworks, and methodologies
- General knowledge and techniques developed during service delivery
- Tools and processes used to deliver services
Third-Party Software
Some services may utilize third-party software or APIs subject to their own licenses and terms. You are responsible for complying with these third-party terms.
6. Warranties and Disclaimers
Service Warranty
We warrant that services will be performed in a professional and workmanlike manner. For a period of 30 days after delivery, we will correct any defects in the deliverables at no additional charge.
Disclaimer
EXCEPT AS EXPRESSLY PROVIDED, ALL SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- Our total liability shall not exceed the amount paid by you for the specific service giving rise to the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We are not liable for loss of profits, revenue, data, or business opportunities
- We are not responsible for third-party services, software, or infrastructure failures
8. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information shared during the engagement. This obligation survives termination of the service agreement.
Confidential information does not include information that:
- Is publicly available or becomes publicly available through no fault of the receiving party
- Was known to the receiving party before disclosure
- Is independently developed without use of confidential information
- Is required to be disclosed by law
9. Service Level Agreements (SLA)
For infrastructure services, specific SLA terms including uptime guarantees and support response times will be outlined in your service agreement. Standard SLA terms include:
- Uptime Target: 99.9% for managed infrastructure services
- Support Response: Within 4 hours for critical issues
- Scheduled Maintenance: Announced at least 48 hours in advance
10. Termination
By Client
You may terminate services with 30 days written notice for ongoing services. For project-based work, termination fees may apply based on work completed.
By Agenzy
We may terminate services immediately if:
- Payment is more than 30 days overdue
- You breach these Terms
- You engage in illegal activities
- You abuse or misuse our services
Effect of Termination
Upon termination, you must pay all outstanding fees, and we will provide reasonable assistance in transitioning services.
11. Indemnification
You agree to indemnify and hold harmless Agenzy from any claims, damages, or expenses arising from:
- Your use of our Services
- Your violation of these Terms
- Your violation of any third-party rights
- Content or data you provide to us
12. Dispute Resolution
Any disputes arising from these Terms or our Services shall be resolved through:
- Good faith negotiation between the parties
- If negotiation fails, binding arbitration in accordance with applicable arbitration rules
- The arbitration shall be held in Florida, United States
- The prevailing party shall be entitled to recover reasonable attorneys' fees
13. Force Majeure
Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, labor strikes, internet outages, or government actions.
14. General Provisions
- Governing Law: These Terms are governed by the laws of Florida, United States
- Entire Agreement: These Terms, together with any service agreements, constitute the entire agreement
- Amendments: We may modify these Terms by posting updated terms on our website
- Severability: If any provision is found invalid, the remaining provisions remain in effect
- Waiver: Failure to enforce any provision does not constitute a waiver
- Assignment: You may not assign these Terms without our written consent
